1. Introduction
These Terms and Conditions ("Terms") govern the provision of IT services by HD Media Network, a company registered in Jaipur, Rajasthan ("Company"). By engaging with or using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use our Services.

2. Service Description
HD Media Network agrees to provide IT services as described in the agreed-upon Statement of Work ("SOW") or Proposal. The scope, deliverables, and timelines will be outlined in the SOW.

3. Client Responsibilities
The client agrees to provide necessary cooperation, access to information, and resources to facilitate the timely delivery of the Services. Failure to do so may result in delays, and HD Media Network will not be held responsible for any resulting issues.

4. Fees and Payment Terms
The client agrees to pay HD Media Network the agreed-upon fees as outlined in the SOW or Proposal. Payment terms, including invoicing schedules and methods, will be specified in the agreement.

5. Intellectual Property
All intellectual property developed or provided by HD Media Network as part of the Services will remain the property of HD Media Network unless otherwise agreed upon in writing. The client is granted a non-exclusive, non-transferable license to use any deliverables solely for its internal business purposes.

6. Confidentiality
Both parties agree to keep confidential any proprietary or confidential information obtained during the provision of Services. This obligation extends beyond the termination of the agreement.

7. Termination
Either party may terminate the agreement in the event of a material breach by the other party. Termination for convenience may also be allowed, subject to terms outlined in the agreement.

8. Warranty and Liability
HD Media Network warrants that the Services will be performed in a professional manner. The client agrees to report any deficiencies promptly. HD Media Network's liability will be limited to the fees paid for the specific Services causing the claim.

9. Force Majeure
Neither party shall be liable for any failure or delay in performance due to events beyond their control, such as acts of nature, war, terrorism, or other unforeseen circumstances.

10. Governing Law and Dispute Resolution
These Terms are governed by the laws of Rajasthan, India. Any disputes arising out of or in connection with these Terms will be resolved through arbitration in accordance with the rules of the Arbitration Organization and held in Jaipur, Rajasthan.

11. Amendments
